General Terms of Sale — Cinephos Production
B2B visual production services (photo, video) by Cinephos Production (Panagiotis Achouriotis)
ARTICLE 1: PURPOSE AND ACCEPTANCE
These Terms of Sale govern the business relationship between Cinephos Production (“the Provider”) and its professional Client. Signing a quote implies unreserved acceptance of these Terms of Sale.
The order is firm and final upon receipt of the quote signed with the words “Bon pour accord” (approved), together with payment of a deposit of 30 % of the total amount excluding VAT.
ARTICLE 2: PRICES AND PAYMENT
- Prices: Stated in euros excluding VAT. Applicable VAT is added to the invoice.
- Packages: Our production prices (based on 4-hour or 8-hour blocks) cover the entire service: preparation, shooting, post-production and final colour grading.
- Terms: The balance is payable on receipt of the final files or, at the latest, thirty (30) days net from the issue date of the final invoice.
- Late payment: Late-payment penalties (3 times the legal interest rate) and a fixed recovery fee of €40 are automatically due from the first day of delay (Art. L441-10 of the French Commercial Code).
ARTICLE 3: EXECUTION AND TECHNICAL TERMS
- Artistic freedom: The Client accepts the Provider’s cinematic style (use of natural light, discretion, no disruptive flash). The Provider alone decides on equipment, framing and colour.
- Deliverables: Only final edited and colour-graded files are delivered. Unedited raw files (RAW files or unedited video rushes) remain the exclusive property of the Provider and are not supplied under any circumstances.
- Cooperation: The Client undertakes to arrange access, permissions and subjects at the agreed time. Any delay or lack of organisation on the Client’s part will be deducted from the chosen hourly package.
ARTICLE 4: CANCELLATION, POSTPONEMENT AND WEATHER
- Cancellation by the Client: In the event of cancellation less than seven (7) calendar days before the service, the 30% deposit is retained in full by the Provider as compensation.
- Weather (outdoor shoots): If weather conditions make shooting impossible, the service is postponed by mutual agreement to a later date, at no cost.
- Force majeure: If the Provider is genuinely unable to carry out the session (illness, accident, major equipment failure), the deposit is refunded to the Client, with no further compensation.
ARTICLE 5: INTELLECTUAL PROPERTY AND IMAGE RIGHTS
- Copyright: Moral rights remain attached to the name of Panagiotis Achouriotis.
- B2B usage licence: Unless otherwise stated in the quote, delivery of the visuals entails a non-exclusive transfer of reproduction and representation rights for a period of 10 years (worldwide) on the Client’s corporate channels (website, LinkedIn, Instagram, TikTok, Google Business, internal presentations).
- Promotion: The Provider may use the images for its own promotion (portfolio, social media), unless a written confidentiality agreement has been made.
- Image rights: The Client is responsible for obtaining written consent from its staff or partners present during the shoot.
ARTICLE 6: LIABILITY AND DISPUTES
Cinephos Production holds professional liability insurance (RC Pro) covering any property damage or bodily injury caused accidentally during the service.
These Terms of Sale are governed by French law. In the event of a dispute not resolved amicably within thirty (30) days, exclusive jurisdiction is granted to the competent courts of the city of Paris.
